Proposed effective date: October 1, 2026
Provider: Jamato, LLC, a Michigan limited liability company doing business as Memory Bright
Contact: support@mymemorybright.com; (231) 714-4533; 6625 W Echo Valley Road Empire, MI 49630
1. Applicability.
(a) These terms govern your use of the Memory Bright website and web application. The Privacy Policy, End User License Agreement (“EULA”), and Refund Policy and Disclaimer (“Disclaimer”) provide related details.
(b) By creating an account, starting a free trial, or using the service, you agree to these terms. In these terms, “Memory Bright,” “we,” “us,” and “our” mean Jamato, LLC, a Michigan limited liability company doing business as Memory Bright, and “you” means the person who creates or uses an account. Memory Bright and you are referred to herein as a “Party” and together the “Parties.”
(c) These terms, together with the Privacy Policy, EULA, and Disclaimer, are the entire agreement between the Parties regarding the service and replace and supersede any prior understandings or agreements, written or oral, about it. If these terms conflict with any of those documents, these terms control unless the other document expressly states otherwise.
2. Who May Use the Service.
(a) You must be at least 18 years of age and able to enter a contract or be supervised by an authorized adult where permitted. If you create or administer an album for another person, including an elderly person or a person with cognitive impairment, you represent and warrant that you have all rights, authority, permissions, and consents necessary to create and administer the album; upload, use, and share personal information, photographs, voice recordings, likenesses, health-related information, and other material concerning that person; invite contributors and viewers; and act for that person to the extent you purport to do so. You are responsible for maintaining and complying with any limits on that authority and for promptly notifying Memory Bright if that authority ends or changes. Creating an account does not, in and of itself, establish legal authority to act for someone else. Memory Bright does not verify guardianships, powers of attorney, family relationships, capacity, or other decision-making authority and may rely on your representations and instructions. Organizational use may be subject to a separate agreement.
(b) You are responsible for accurate registration information, keeping your credentials and Magic Links secure, the actions of people you authorize within the permissions you grant, and notifying us of suspected unauthorized access. A recipient should not forward a private link without the account holder's permission.
3. What Memory Bright Provides.
Memory Bright provides personal Life Albums and ready-made Feature Albums, with Game, Story, Explore, and Auto Play activities. Product features, limits, and available content may evolve. Guided Setup and invitations can help an account holder give access to trusted participants. We do not promise, or make any representation or warranty, that any activity will cause recognition, improve memory, prevent decline, or manage a particular behavior.
Memory Bright is not a healthcare provider and does not provide medical advice, diagnosis, treatment, professional caregiving, emergency monitoring, or emergency response services. The service must not be used to communicate or monitor urgent or time-sensitive medical information or as a substitute for contacting emergency services or a qualified healthcare professional. Unless Memory Bright expressly agrees otherwise in a separate written agreement, the service is not intended to receive, maintain, or transmit protected health information subject to the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), and Memory Bright is not acting as a HIPAA covered entity or business associate solely by providing the service. You are responsible for determining whether information you submit is subject to HIPAA or other health-information laws and for obtaining all required authorizations and consents before submitting it.
4. Trial, Price, and Billing.
(a) Your 30-day free trial requires no credit card and does not automatically become a paid subscription. You are charged only if you choose a paid plan and expressly authorize recurring payments at checkout.
(b) A paid monthly plan begins on the date you purchase it and automatically renews each month on that calendar date. A paid annual plan begins on the date you purchase it and automatically renews each year on that calendar date. If a month does not have that date, a monthly renewal occurs on the last day of that month. The date you begin a paid plan, rather than the date you begin your free trial, sets your renewal schedule.
(c) By selecting a paid plan and affirmatively agreeing to recurring billing, you authorize Memory Bright to charge your chosen payment method according to the plan you select, plus any applicable tax, until you cancel. We will show the amount, billing frequency, and next charge date before you confirm your purchase and will send you confirmation afterward.
(d) We will email you at least 30 days before each annual renewal with the renewal date, amount, and cancellation instructions. For monthly plans, we will send an annual reminder of the recurring charges and how to cancel. We will provide any additional notices required by applicable law.
(e) You may cancel online at any time through your account’s billing settings. Cancellation prevents the next renewal charge if completed before that charge is processed. Your paid access continues through the end of the period you have already paid for, unless applicable law or a stated refund policy provides otherwise. Cancelling a subscription does not, by itself, delete your Life Albums or account. You may contact support@mymemorybright.com for help.
(f) Prices do not include sales, use, or similar taxes unless stated otherwise. You are responsible for any such taxes that apply to your purchase, which will be shown before you confirm your purchase.
(g) If a charge to your payment method fails, we will notify you and may retry the charge. If the payment issue is not resolved within 30 days after our notice, we may suspend paid features until payment is made.
5. Your Albums and Rights.
(a) You and the applicable rights holders keep ownership of photos, recordings, words, and other material you provide (“Your Content”). You give Memory Bright a nonexclusive, worldwide license limited to storing, reproducing, formatting, transmitting, displaying, and otherwise processing Your Content as needed to run the service, fulfill your sharing instructions, protect the service, and comply with any applicable laws. This license ends when the content is deleted from active systems, subject to reasonable backup and legal retention. We will not use private family content in advertising or public examples without separate permission.
(b) You are responsible for having the rights and permissions needed for uploaded content and for respecting the privacy and dignity of people portrayed. Do not upload unlawful, infringing, abusive, deceptive, or malicious material; disclose another person's private information without a proper basis; impersonate someone; or interfere with accounts, security, or service operation. We may remove content or restrict access when reasonably necessary to address abuse, rights complaints, legal requirements, or security threats, with notice when practicable.
(c) Memory Bright owns its software, site design, trademarks, and original Feature Album material, or uses them under licenses. Access to a Feature Album does not transfer ownership or grant permission to republish it outside the service. The EULA states the limited permission to use the software.
6. Availability, Changes, and Ending an Account.
(a) We aim to operate the service reliably, but interruptions may occur. We may modify features and prices prospectively, giving notice when legally required or when a material change affects an active paid plan. We may suspend access for serious violations, security issues, or unpaid charges, applying applicable notice and consumer rights. You can request account closure at support@mymemorybright.com. Memory Bright does not have an export feature. We advise you to keep independent copies of important family media.
(b) We may terminate your account upon written notice if you materially breach these terms and fail to cure the breach within 30 days after receiving notice, or immediately if the breach cannot be cured or involves unlawful conduct, security threats, or abuse of other users. Termination does not affect any rights or obligations that arose before termination.
7. Disclaimer of Warranties.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” AND MEMORY BRIGHT MAKES NO OTHER REPRESENTATION OR WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MEMORY BRIGHT DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT, AND THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL CARE.
8. Limitation of Liability.
(a) TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMORY BRIGHT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOSS OF DATA OR CONTENT, OR LOSS OF USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF MEMORY BRIGHT WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMORY BRIGHT’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO MEMORY BRIGHT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
(c) THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE, BUT THEY DO NOT LIMIT ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
9. Indemnification.
To the extent permitted by law, you will indemnify, defend, and hold harmless Memory Bright and its members, managers, employees, agents, successors and assigns against any third-party claims, losses, damages, and expenses, including reasonable attorneys’ fees, arising out of Your Content, your violation of these terms, or your violation of another person’s rights.
10. Disputes and Legal Terms.
Contact support@mymemorybright.com first so we can try to resolve a problem. The service is provided with reasonable care but, to the extent permitted by law, without a guarantee of uninterrupted access or a particular emotional, caregiving, or medical outcome. Neither party excludes liability that law does not allow it to exclude. If a provision is unenforceable, the remaining provisions continue. We may update these terms prospectively and provide notice of material changes where required.
11. Governing Law and Jurisdiction.
These terms and all matters arising out of or relating to them or the service are governed by the laws of the State of Michigan, without giving effect to its conflict of law principles. Any legal action arising out of or relating to these terms or the service must be brought in the state or federal courts located in the State of Michigan, and each Party submits to the jurisdiction of those courts. Nothing in this section limits any non-waivable rights you have under the consumer protection laws of the state where you live.
12. Force Majeure.
Neither Party will be liable for any failure or delay in performing these terms (other than payment obligations) caused by events beyond its reasonable control, including acts of God, flood, fire, earthquake, epidemic, war, terrorism, civil unrest, government action, power or internet outages, or failures of third-party hosting or telecommunications providers. The affected Party will use reasonable efforts to minimize the effects of the event and resume performance as soon as reasonably practicable.
13. Assignment.
You may not assign or transfer your account or any of your rights or obligations under these terms without our prior written consent, and any attempted assignment in violation of this section is void. We may assign these terms, including in connection with a merger, acquisition, or sale of assets, and will provide notice only where required by law.
14. Notices.
All notices under these terms must be in writing. We may send notices to the email address associated with your account, and you are responsible for keeping that address current. You may send notices to support@mymemorybright.com or by certified mail to: Memory Bright, 6625 W Echo Valley Road Empire, MI 49630.
15. Waiver.
No waiver of any provision of these terms is effective unless it is in writing and signed by the Party granting it. A Party’s failure or delay in exercising any right or remedy under these terms is not a waiver of that right or remedy or of any other right or remedy.
16. Relationship of the Parties; No Third-Party Beneficiaries.
The Parties are independent, and nothing in these terms creates a partnership, joint venture, agency, employment, or fiduciary relationship between them. These terms benefit only the Parties and their permitted successors and assigns. People you invite to view or contribute to an album are not third-party beneficiaries of these terms.
17. Survival.
Section 5(c) (Memory Bright’s ownership), Section 7 (Disclaimer of Warranties), Section 8 (Limitation of Liability), Section 9 (Indemnification), Section 10 (Disputes and Legal Terms), Section 11 (Governing Law and Jurisdiction), this Section 17, any payment obligations that arose before termination, and any other provision that by its nature should survive, will survive the termination of your account or these terms.
18. Copyright Concerns and Contact.
