Software license
Effective Date: October 1, 2026
This End User License Agreement (this "License") is between Jamato, LLC, a Michigan limited liability company doing business as Memory Bright ("Memory Bright," "we," or "us"), and you. Memory Bright is a browser-based service. This License covers use of its software through the consumer website and application (the "Web App"), it does not imply that a downloadable desktop or mobile application exists. The Memory Bright Terms of Service (the "Terms") govern accounts, content, and subscriptions. Capitalized terms used but not defined in this License have the meanings given to such terms in the Terms.
1. Acceptance and Eligibility. By creating an account, clicking "I agree," or otherwise using the Web App, you accept this License. You must be at least 18 years old to accept this License. A minor may use the Web App only through an account of a parent or legal guardian who accepts this License and is responsible for the minor's use, consistent with the Terms and Privacy Policy. If you do not agree to this License, do not use the Web App.
2. License. While you have a valid right to access the service and follow the Terms, Memory Bright grants you a limited, nonexclusive, nontransferable, revocable right to use the Web App for your personal or family purposes. Your paid plan, when required, controls paid access. This is permission to use software, not a transfer of its ownership. All rights not expressly granted in this License are reserved by Memory Bright and its licensors.
3. Restrictions. Except when expressly permitted under this License or the Terms, you shall not: copy or distribute the Web App; sell, rent, sublicense, or otherwise commercially exploit access to the Web App; modify the Web App or create derivative works from it; reverse engineer it; remove or alter any copyright, trademark, or other proprietary notices; bypass access or usage limits; interfere with security; scrape private content or accounts; use another person's credentials without permission; use the Web App to build a competing service by unauthorized extraction; or use the Web App in violation of any applicable law. Normal browser caching and accessibility tools are allowed. These restrictions do not limit rights you cannot waive under applicable law.
4. Responsibility for Your Account. You are responsible for all activity under your account, including use by family members, minors, or anyone else you allow to access it, whether or not that use complies with this License. Keep your login credentials secure and notify us promptly at support@mymemorybright.com if you believe your account has been used or accessed without your authorization.
5. Third-Party Components. The Web App may include open-source or other third-party software components that are subject to their own license terms. To the extent those terms conflict with this License, those terms control only as to the applicable conflicting components.
6. Ownership and Updates. Memory Bright and its licensors retain rights in the application, code, design, and original Feature Albums. You and applicable rights holders retain rights in Your Content as explained in the Terms. We may update the Web App, including for security or any other purpose. Except as the Terms provide for paid service, we have no obligation to provide any particular update, feature, or support, and all updates are part of the Web App and subject to this License. You are responsible for your own internet access and for using a supported browser. If a material change affects your paid service, the Terms govern notice and remedies. If you send us suggestions, ideas, or other feedback about the Web App, you grant Memory Bright a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback without restriction or compensation to you.
7. Your Content and Backups. You are responsible for Your Content, including having all rights, permissions, and consents needed to upload and share it, including from any person who appears in or is described in it. The Web App is not a backup or archival service, and you should keep your own copies of any content that is important to you.
8. Privacy. Your use of the Web App is subject to the Memory Bright Privacy Policy, which explains how we collect, use, and share information, including information about how you use the Web App.
9. Ending the License. You may end this License at any time by stopping all use of the Web App or closing your account as described in the Terms. This License ends when your lawful access ends or the Terms are terminated. Memory Bright may also suspend or end this License if you violate it or the Terms. You must then stop using the Web App, while rights to Your Content, any available export or deletion options, paid-period access, and statutory protections are governed by the Terms, Privacy Policy, and applicable law.
10. Survival. Sections 3 (Restrictions) and 4 (Responsibility for Your Account), as to use before this License ends, 6 (Ownership and Updates), 7 (Your Content and Backups), 11 (Warranty and Liability), 12 (Indemnification), 16 (Export Compliance), and 17 (General) shall survive the suspension, end or termination of this License.
11. Warranty and Liability. The warranty and liability provisions in the Terms apply to this License to the extent permitted by law.
12. Indemnification. To the extent permitted by law, you will indemnify and hold harmless Memory Bright and its members, officers, employees, agents, successors, and assigns from any third-party claims, and related losses, damages, and reasonable attorneys' fees, arising from (a) your violation of this License, (b) your violation of any law or the rights of any third party, or (c) Your Content.
13. Changes to This License. We may update this License from time to time. We will post the updated License with a new effective date and, for material changes, provide notice as described in the Terms. Your continued use of the Web App after the updated License takes effect shall be, and shall be deemed for all purposes as, an acceptance of the updated License.
14. Electronic Notices. You agree that Memory Bright may provide notices and other communications about this License electronically, including by email to the address associated with your account or through the Web App, and that these electronic communications satisfy any legal requirement that they be in writing.
15. Export Compliance. You may not access or use the Web App in violation of US export control or sanctions laws, including from any country or by any person to whom such access is prohibited.
16. Governing Law and Venue. This License is governed by the laws of the State of Michigan, without regard to its conflict-of-law rules. Subject to any dispute resolution provisions in the Terms, any claim arising out of or relating to this License must be brought in the state courts located in Leelanau County, Michigan, or the United States District Court for the Western District of Michigan, and you and Memory Bright consent to personal jurisdiction in those courts. This section does not limit any consumer protections that cannot be waived under applicable law.
17. General. This License, the Terms, and the Privacy Policy are the entire agreement between you and Memory Bright regarding your use of the Web App. If this License conflicts with the Terms, the Terms control as to accounts, Your Content, subscriptions, and payment, and this License controls as to permitted use of the Web App, the restrictions in Section 3, and Memory Bright's ownership of the Web App. You may not assign or transfer this License, and any attempted assignment or transfer in violation of this section is void; Memory Bright may assign it, including in connection with a merger, acquisition, or sale of assets. This License is for the sole benefit of you and Memory Bright and its successors and permitted assigns, and it does not give any other person any rights, including family members or others who use your account. Memory Bright is not liable for any delay or failure to perform caused by events beyond its reasonable control, including network, hosting, or utility outages, natural disasters, and government actions. Because a violation of Section 3 may cause Memory Bright harm that money damages cannot adequately remedy, Memory Bright may seek injunctive or other equitable relief to stop or prevent that violation, in addition to any other remedies. If any provision of this License is found unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of our right to do so later. In this License, "include," "includes," and "including" mean "including without limitation," and section headings are for reference only and do not affect interpretation.
